By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Services Description
SysWorks provides AI-powered writing and content analysis tools, including but not limited to:
- AI Content Detector: Analyzes text to detect AI-generated content
- Grammar Checker: Identifies and suggests corrections for grammar, spelling, and style issues
- Plagiarism Checker: Scans content against web sources to detect potential plagiarism
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
3. Account Registration and Security
3.1 Account Creation
To access certain features of the Services, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account credentials
- Be at least 13 years of age (or the minimum age required in your jurisdiction)
- Notify us immediately of any unauthorized access or use of your account
3.2 Account Responsibility
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security. You agree not to share your account credentials with others or allow others to access your account.
4. Acceptable Use Policy
When using our Services, you agree NOT to:

- Use the Services for any illegal or unauthorized purpose
- Submit content that is harmful, threatening, abusive, harassing, defamatory, or obscene

- Submit excessive requests that may overload or harm our infrastructure

You retain all rights to any content you submit to the Services ("Your Content"). By submitting Your Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, and process Your Content solely for the purpose of providing the Services to you.
You represent and warrant that you own or have the necessary rights to Your Content and that Your Content does not infringe or violate any third-party rights.
5.3 Feedback
If you provide us with any feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation to compensate you.
6. Payment and Subscription Terms
6.1 Pricing
Certain features of the Services may require payment of fees. All fees are stated in U.S. dollars and are non-refundable except as required by law or as explicitly stated in these Terms.
6.2 Subscriptions
Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Your subscription will automatically renew unless you cancel before the renewal date. You are responsible for all charges incurred under your account.
6.3 Price Changes
We reserve the right to modify our pricing at any time. We will provide reasonable notice of any price changes. Your continued use of the Services after a price change constitutes acceptance of the new price.
6.4 Cancellation and Refunds
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial subscription periods, except as required by applicable law.
7. Disclaimers and Limitations
7.1 Service "As Is"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS.
7.2 No Guarantee of Accuracy
While we strive for high accuracy in our analysis tools, we do not guarantee that the Services will be error-free, accurate, or reliable at all times. The results provided by our AI Content Detector, Grammar Checker, and Plagiarism Checker are for informational purposes only and should not be solely relied upon for critical decisions.
7.3 Third-Party Content
The Services may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of any third-party sites or services.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSWORKS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Services
- Any unauthorized access to or use of our servers and/or any personal information stored therein
- Any interruption or cessation of transmission to or from the Services
- Any bugs, viruses, or other harmful code transmitted through the Services
- Any errors or omissions in any content or for any loss or damage incurred from the use of any content
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless SysWorks and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your Content or any content you submit to the Services
10. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Dispute Resolution and Governing Law
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
11.2 Dispute Resolution
Any dispute arising from these Terms or the Services shall first be attempted to be resolved through good faith negotiations. If a resolution cannot be reached within 30 days, the dispute may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
12. General Provisions
12.1 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
12.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
12.3 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SysWorks regarding the Services and supersede all prior agreements and understandings.
12.4 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
